Joint Operating Agreements

ECC has significant experience in drafting and negotiating joint operating agreements which define the rights and obligations of joint venture participants from the exploration phase through unitisation, field development and the field production and operational phase. This includes associated agreements where for example a unit operating agreement is required as a result of unitisation or where a specific field development agreement is required.

Such agreements may vary in complexity from simple single field developments through to complex arrangements for multiple fields sharing common facilities such as a floating production system (FPSO) where the rights to specific services such as primary separation, gas treatment, gas lift, water injection, water treatment and power need to be detailed and usually vary between fields. Issues such as emissions management (CO2 trading), crude oil quality adjustment, gas/oil off-take arrangements, field abandonment liabilities, off-specification incidents and rights during process restrictions also have to be addressed
